WEBSITE SERVICE AGREEMENT

Parties:

This Agreement is entered into between Cannexus Holding (Pty) Ltd, a company incorporated under the laws of South Africa (“Licensor”), and any individual or entity (“User”) who accesses or utilizes the Cannexus website and associated services.

1. ACCEPTANCE OF TERMS
  • The Cannexus website and affiliated platforms are provided subject to the terms and conditions set forth in this Website Service Agreement (“Agreement”). By accessing or using Cannexus Commerce, Cannexus Hub, or any affiliated service, the User acknowledges that they have read, understood, and agree to comply with the provisions herein.

2. NON-TRANSFERABILITY & ACCOUNT RESPONSIBILITY
  • The right to access and use the Cannexus website and services is personal to the User and may not be transferred or assigned to any third party without the prior written consent of Cannexus Holding (Pty)
  • The User is responsible for all activity conducted under their account, including any actions performed under their screen name, password, or login credentials. The User shall:
  • Maintain the confidentiality of all login
  • Ensure that their account remains secure against unauthorized
  • Immediately notify Cannexus Holding if they suspect any unauthorized use or security breach.

3. MODIFICATION OR DISCONTINUATION OF SERVICES

5. DESCRIPTION OF SERVICES
  • Scope of Services
    Cannexus Holding (Pty) Ltd operates a specialized digital platform providing regulated commercial and compliance

services for licensed professionals and sublicensees in the medical cannabis industry. These services include, but are not limited to:

  • Cannexus Hub: A compliance submission and regulatory alignment portal, facilitating streamlined interactions with governing bodies, including SAHPRA and Section 21 regulatory frameworks.
  • Cannexus Commerce: A sublicensed store management platform, enabling authorized entities to conduct medical cannabis transactions in adherence to national compliance
  • Regulatory & Educational Resources: A knowledge repository providing guidance on supply chain management, licensing obligations, and best practices for Cannexus-approved
  • Communication & Support Networks: Secure forums and channels for licensed store operators, healthcare professionals, and compliance officers, ensuring seamless operational
5.2. Service Modifications & Enhancements

Cannexus Holding (Pty) Ltd reserves the right, at its sole discretion, to introduce, modify, or discontinue any aspect of the services provided through Cannexus Hub, Cannexus Commerce, or affiliated platforms. Such changes may include:

  • Enhancements to compliance submission processes to align with updated medical cannabis
  • Technical modifications to platform functionality, ensuring secure authentication and transaction
  • Adjustments to sublicensing terms, supporting Cannexus’ operational framework and strategic
  • Where practical, Cannexus Holding shall notify Users of any material changes affecting service availability, licensing adjustments, or modifications in platform
6. EQUIPMENT & ACCESS REQUIREMENTS
  • User Responsibility for Equipment : The User is solely responsible for procuring and maintaining all necessary hardware, software, and network connectivity required to access and utilize Cannexus Hub, Cannexus Commerce, and affiliated services. This includes, but is not limited to:
  • Secure internet access and telecommunications services for platform
  • Compatible computing devices, including desktops, tablets, or mobile systems that meet minimum security and functionality
  • Software requirements, including browsers and compliance-related applications necessary for engagement with Cannexus’ online
  • Associated Costs and Liabilities: The User shall bear all costs associated with accessing Cannexus platforms, including but not limited to subscription fees, data charges, service agreements, and regulatory compliance costs.
  • Cannexus Holding (Pty) Ltd is not liable for any operational disruptions, system incompatibilities, or service failures resulting from the User’s equipment limitations or third-party network service
  • Security Standards for Access: The User shall ensure all devices used for accessing Cannexus services comply with standard cybersecurity protocols and regulatory
  • Unauthorized access, account sharing, or external integration with unapproved third-party systems is strictly prohibited and may result in account termination or legal
7. USER CONDUCT & PLATFORM USAGE
  • General User Responsibilities: Users of Cannexus Hub and Cannexus Commerce shall strictly adhere to legal and ethical standards in their interactions with the The following behaviours are prohibited:
7.1.1. Posting or transmitting any unlawful, defamatory, abusive, or deceptive content.
  • Engaging in fraudulent activities related to sublicensing, medical cannabis transactions, or compliance
  • Disrupting platform operations, including unauthorized attempts to access restricted services or alter system
  • Compliance with Platform Policies: Users shall utilize Cannexus services exclusively for lawful business transactions and compliance-related purposes within South African medical cannabis regulations. Users are expressly prohibited from:
7.2.1. Advertising or soliciting third-party products

outside of approved sublicensing agreements.

  • Disseminating unverified medical claims or promotions that violate SAHPRA advertising
7.2.3. Interfering with the functionality of Cannexus Hub, Cannexus Commerce, or affiliated forums.
  • Intellectual Property & Data Protections: Users shall not engage in unauthorized use of Cannexus Holding (Pty) ’s proprietary content, including:
  • Modifying, redistributing, or replicating regulatory materials, training programs, or compliance documentation.
  • Extracting or exploiting platform data for external commercial gain or unauthorized sublicensing
  • Uploading copyrighted materials without proper authorization from the intellectual property
  • Users shall ensure that all interactions with Cannexus Commerce and Cannexus Hub comply with South African privacy laws (POPIA) and data protection regulations.
  • Cannexus Holding (Pty) Ltd reserves the right to:
  • Remove or restrict access to any user violating these
  • Suspend or terminate accounts engaged in fraudulent or unlawful
  • Pursue legal action for violations of intellectual property rights or compliance
8. USE OF SERVICES
  • Scope and Purpose of Communication Services: Cannexus Holding (Pty) Ltd provides access to regulated digital communication services as part of its platform offerings, including but not limited to:
  • Internal correspondence systems for compliance- related
8.1.2. Bulletin boards, private messaging forums, and regulatory update notifications.
  • Licensed sublicensee and stakeholder communication channels for operational
  • Users shall utilize these services exclusively for lawful and compliance-related purposes, aligned with Cannexus’ sublicensing framework and regulatory obligations.
  • Prohibited Conduct: Users are expressly prohibited from engaging in any conduct that violates South African regulatory and electronic communications laws, including but not limited to:
  • Spamming, fraudulent solicitations, or unauthorized advertising (Electronic Communications and Transactions Act, Chapter 7, Section 45).
  • Defamation, harassment, stalking, or violation of privacy rights (Protection of Personal Information Act, Chapter 2, Section 11).
  • Dissemination of obscene, profane, defamatory, or unlawful content (Films and Publications Act, Section 24A).
  • Unauthorized distribution or reproduction of copyrighted material (Copyright Act, Sections 6 and 7).
  • Uploading malicious software, viruses, spyware, or hacking tools (Electronic Communications and Transactions Act, Chapter 7, Section 86).
  • Creation of deceptive identities or impersonation for misleading purposes (Electronic Communications and Transactions Act, Chapter 12, Section 89).
  • Intellectual Property and Data Protection Compliance: Users acknowledge that all communications and shared materials within Cannexus Hub, Cannexus Commerce, or affiliated forums are subject to the following legal protections:
  • South African intellectual property laws, ensuring that proprietary regulatory documentation and compliance training resources remain protected.
  • Protection of Personal Information Act (POPIA), restricting unauthorized collection, processing, or dissemination of user
  • Cannexus Holding’s right to monitor communications, ensuring regulatory adherence and operational
  • Users are responsible for ensuring all uploaded materials comply with applicable data protection and proprietary rights regulations.
  • Monitoring and Enforcement: Cannexus Holding (Pty) Ltd reserves the right to:
  • Review and monitor platform communications for potential violations of regulatory
  • Restrict or terminate access to users found engaging in misconduct or unlawful activities.
  • Disclose user information where required under South African law, including compliance audits and regulatory verifications.
  • Violations of this section may result in immediate suspension or permanent termination of platform privileges without prior
9. MEMBER ACCOUNT, PASSWORD, AND SECURITY
  • User Account Registration: Where access to Cannexus Hub, Cannexus Commerce, or any affiliated services requires the creation of a User account, the User shall complete the registration process by providing current, complete, and accurate information as required by Cannexus Holding (Pty)
  • Account Credentials and Confidentiality: The User shall select a password and username upon account
  • The User is solely responsible for maintaining the confidentiality of their login
  • The User assumes full responsibility for all activity conducted under their account and agrees to notify Cannexus Holding (Pty) Ltd immediately upon detecting any unauthorized account access or security breach.
  • Liability for Account Misuse: Cannexus Holding (Pty) Ltd shall not be liable for losses incurred by the User due to unauthorized account access, whether or not the User was aware of such
  • The User may be held liable for any financial or operational damages suffered by Cannexus Holding (Pty) Ltd or third parties resulting from unauthorized use of the User’s account credentials.
  • Users shall not attempt to access or utilize another User’s account without the account holder’s explicit consent.
10. SOFTWARE LICENSE AND USAGE TERMS
  • License and Restrictions: Any software made available for download through Cannexus Holding (Pty) ’s services is protected by copyright laws and governed by the End User License Agreement (EULA) accompanying the software. Users shall:
  • Review and accept the EULA prior to software
  • Refrain from unauthorized reproduction, modification, or redistribution of software beyond the permitted scope of the
  • Software Warranties and Limitations: Except where explicitly provided under the License Agreement:

11. DOCUMENT USE POLICY
  • Permitted Use of Documents: Users may download and utilize documents (such as regulatory guidelines, compliance white papers, and sublicensing FAQs) published through Cannexus Hub, provided that:
11.1.1. The original copyright notice remains intact.
  • Documents are used strictly for informational and non-commercial purposes.
11.2. Limitations on Use: Users shall not:
  • Copy or distribute regulatory documents to unauthorized parties.
  • Post sublicensing content on external platforms without express written permission from Cannexus Holding (Pty)
12. DISCLAIMERS AND LIMITATION OF LIABILITY
  • Information Accuracy and Suitability: Cannexus Holding (Pty) Ltd provides platform documents, software utilities, and digital services “as is”, without warranty as to accuracy, completeness, or suitability for any specific
  • No Express or Implied Warranties: To the maximum extent permitted by law, Cannexus Holding (Pty) Ltd disclaims:
  • All warranties and conditions, whether express or implied, including fitness for a particular

  • The terms and conditions contained within this Agreement shall apply to all Users accessing Cannexus services via third- party social media platforms (where applicable).
14. DISCLAIMERS REGARDING SOFTWARE, DOCUMENTS, AND SERVICES
  • Limitation of Liability: In no event shall Cannexus Holding (Pty) Ltd, its affiliated companies, or its suppliers be held liable for special, indirect, or consequential damages arising from:
  • Loss of use, data, or revenue resulting from the use or inability to use Cannexus Hub, Cannexus Commerce, or affiliated services;
  • Errors, omissions, or delays in processing regulatory transactions or sublicensing agreements.
  • Technical failures or system disruptions affecting platform availability.
15. USER-PROVIDED MATERIALS AND SUBMISSIONS
  • Ownership and Usage Rights: Cannexus Holding (Pty) Ltd does not claim ownership over materials, feedback, or submissions provided by Users via Cannexus However, by submitting, uploading, or posting content, the User grants Cannexus Holding:
  • A royalty-free, perpetual, irrevocable, non- exclusive right to use, reproduce, distribute, and modify the material as part of platform
  • The right to publicly display submissions in compliance documentation, sublicensing materials, or platform
  • The authority to sublicense such content to platform service
15.2. Restrictions on Submissions: Users shall not upload, post, or submit content that violates intellectual property rights or privacy laws.
  • The User warrants that they own or have necessary permissions for submitted content, including regulatory documents, compliance materials, or
  • No compensation shall be provided for the use of User- submitted
15.5. User Submissions and Intellectual Property Licensing
  • Cannexus Holding (Pty) Ltd does not claim ownership over any materials, content, or feedback submitted by Users through Cannexus Hub, Cannexus Commerce, or affiliated platforms, including social media or communication tools (collectively, “Submissions”).
  • By submitting content—including regulatory commentary, images, compliance documentation, feedback, or media files—the User grants Cannexus Holding a royalty-free, perpetual, irrevocable, non- exclusive license to:
  • Use, copy, distribute, modify, publicly display, or reproduce the Submission in connection with Cannexus operations, compliance training, sublicensing processes, or service improvements.
  • Attribute the Submission to the User (or not), at Cannexus’ discretion.
  • Sublicense the Submission to platform partners, suppliers, or service providers necessary to carry out core platform
  • The User warrants that:
  • They own or have the legal right to submit the content;
  • The content does not infringe on any third- party intellectual property or privacy rights;
  • Any included individuals (e.g., in images) have granted appropriate consent for lawful
  • No compensation shall be paid to the User for the use of such content unless a separate agreement is signed by both
16. DISCLAIMER OF WARRANTIES
  • Platform Availability and Accuracy: Cannexus Holding (Pty) Ltd provides its services, regulatory tools, and sublicensing platform “as is”, without warranties regarding:
  • Accuracy, completeness, or reliability of compliance
16.1.2. Platform performance, including error-free access

or uninterrupted transactions.

16.1.3. Merchantability or fitness for a particular regulatory purpose.
  • Liability Limitations: Cannexus Holding shall not be liable for:
  • Defamatory, offensive, or illegal conduct by third- party Users on the
  • System errors, data loss, technical failures, or compliance
  • Financial losses or punitive damages linked to sublicensing disputes or operational
17. UNALTERABLE TRANSACTION POLICY – NO REFUNDS, NO RETURNS
  • Legal Foundations & Regulatory Compliance: Purchases made via Cannexus Commerce are final and legally binding, without Refunds, returns, or exchanges are strictly prohibited in compliance with the following South African legislation:
  • Medicines and Related Substances Act, 1965 (Act 101 of 1965), Section 22A – Governing the sale, handling, and supply of scheduled substances, including medical cannabis.
  • Cannabis for Private Purposes Act, 2024, Section 3 – Restricting unauthorized resale and preventing commercial redistribution of cannabis products.
  • SAHPRA Regulatory Guidelines – Establishing safeguards against contamination, misuse, and unauthorized returns or refunds of dispensed medical
  • Once a transaction is completed, the product leaves the controlled supply chain and enters private possession, making any form of refund legally impossible.
  • No Reversal – Choose Responsibly: Every purchase of medical cannabis is an irrevocable transaction, meaning:
17.3.1. Due diligence before purchase is the User’s sole responsibility.
  • Selection errors, preference changes, or non-use do not warrant refund considerations.
17.3.3. Storage and handling become the legal obligation of the buyer upon receipt.
  • Cannexus Holding ensures that all products are dispensed in full compliance with SAHPRA standards, but once possession transfers, the product cannot be reintroduced into circulation under South African
  • Public Safety Protections & Controlled Substance Enforcement: The policy exists not only to uphold legal mandates but also to protect public health, product integrity, and liability standards. Refunds and returns are prohibited due to:
  • Strict anti-contamination protocols—Cannabis storage conditions cannot be verified after sale.
  • Regulatory liability safeguards—Returns and refunds could enable unlawful redistribution.
  • SAHPRA compliance mandates—Once dispensed, medical cannabis is non-transferable under South African regulatory
  • Users must acknowledge that medical cannabis is a controlled substance, subject to strict handling protocols that override standard consumer refund practices.
  • Acknowledgment of Buyer Responsibility: By completing a purchase through Cannexus Commerce, the buyer:
  • Confirms full legal and financial responsibility for the
  • Waives any claim for refunds, replacements, or adjustments due to dissatisfaction or storage
17.7.3. Accepts that cannabis purchases are governed by stringent South African controlled substance laws.
  • Strict Enforcement & Legal Consequences: Cannexus Holding (Pty) Ltd retains full legal authority to enforce this policy under South African controlled substance
  • Refund requests will be automatically rejected, without review or
  • Attempts to dispute transactions shall be deemed invalid under controlled substance law.
  • Non-compliance with purchasing terms shall not constitute legal grounds for action against Cannexus Holding or its sublicensees.
18. GOVERNING LAW & PURCHASE-RELATED CLAIMS
  • Jurisdiction & Legal Framework: This Agreement shall be governed by and construed in accordance with the laws of South Africa, including but not limited to:
  • Medicines and Related Substances Act, 1965 (Act 101 of 1965) – Governing medical cannabis transactions and controlled substance handling.
  • Cannabis for Private Purposes Act, 2024 – Restricting unauthorized resale and ensuring compliant distribution frameworks.
  • SAHPRA Regulatory Guidelines – Mandating strict adherence to medical cannabis approval and fulfilment
  • National Credit Act, 2005 (Act No. 34 of 2005) – Applicable only to qualifying financial transactions within the regulatory
  • Purchase Claims & Dispute Limitations: Any claim related to a purchase transaction must be instituted within 14 days of purchase and shall be strictly limited to:
18.2.1. Disputes regarding incorrect payment processing

  • Concerns regarding failure in order fulfilment due to regulatory
  • Breach of compliance by suppliers under SAHPRA oversight affecting prescribed medical cannabis
  • No claim shall be permitted for:
18.3.1. Refund requests, product dissatisfaction, dosage concerns, or preference changes.
  • Delays in SAHPRA approval processes beyond Cannexus Holding’s
18.3.3. Issues related to supplier specifications, packaging, or storage conditions after sale completion.
  • Failure to institute a claim within the 14-day period shall result in permanent waiver of all rights to dispute the transaction.
  • Interpretation & Contractual Supremacy: The language in this Agreement shall be interpreted in alignment with applicable law and not strictly for or against any party.

Where conflicting terms arise, this Agreement shall take precedence over any external policies or conditions governing purchases made via Cannexus Commerce.

19. MANDATORY MEDIATION & LITIGATION
  • Dispute Resolution & Mediation Requirement: All disputes, claims, or disagreements arising out of or in connection with this Agreement shall first be subject to mandatory mediation before any party may initiate formal
  • The disputing parties shall engage in good faith negotiations to resolve the matter
  • The parties may either mutually agree to appoint a qualified independent mediator, or, failing agreement, they may approach the South African Association of Mediators (SAAM) to appoint an accredited mediator to facilitate a

  • If mediation does not result in resolution within 30 days, either party may proceed with formal

  • Consenting to extra-territorial service of legal process where

19.4. Contractual Supremacy & Enforcement Rights
  • Where conflicting terms arise between this Agreement and external policies or platform terms, this Agreement shall take precedence over any inconsistent
  • Failure by Cannexus Holding (Pty) Ltd to enforce any clause shall not constitute a waiver of enforcement rights or future compliance
20. ACKNOWLEDGMENT & ENTIRE AGREEMENT
  • This Agreement constitutes the entire understanding between Cannexus Holding (Pty) Ltd and the User, governing their relationship regarding access to and use of Cannexus services, including but not limited to Cannexus Commerce, affiliated platforms, and any integrated digital services.
  • This Agreement supersedes all prior discussions, agreements, representations, or understandings, whether written or oral, relating to the User’s engagement with Cannexus Holding’s
  • By continuing to use the Services, the User acknowledges and agrees to be bound by the terms of this Agreement. If the User does not accept these terms, they must discontinue use of Cannexus services
21. DISCLAIMER OF LIABILITY
  • Cannexus Holding (Pty) Ltd shall not be liable for any damages, losses, or disruptions caused by:
  • System failures, technical errors, data transmission issues, or service outages;
  • Cybersecurity threats, unauthorized account access, or external malicious attacks;
  • Interruptions or delays in compliance processing, prescription fulfilment, or regulatory approvals.
21.2. The User explicitly acknowledges that Cannexus Holding is not responsible for the conduct, decisions, or errors of third-party suppliers, affiliated distributors, or regulatory agencies.
  • The risk associated with external data sources, third-party integrations, and financial transactions rests entirely with the User, and Cannexus Holding bears no liability for errors originating outside its direct operational
22. LIMITATION OF LIABILITY
  • In no event shall Cannexus Holding (Pty) Ltd, its affiliated companies, its legal representatives, or its content providers be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:
  • Loss of revenue, financial impact due to regulatory delays, or prescription availability
  • Data corruption, cybersecurity breaches, or unauthorized account use;
  • External service provider failures affecting platform performance or
  • The User hereby acknowledges that all provisions in this section apply to digital interactions, platform communications, and all affiliated integrations with Cannexus Holding’s ecosystem, including third-party regulatory compliance portals.
23. EXCLUSION OF THIRD-PARTY LIABILITY
  • Neither Cannexus Holding (Pty) Ltd, nor its affiliates, information providers, or compliance partners shall be liable for errors, delays, inaccuracies, or disruptions caused by third-party services, regulatory institutions, or external suppliers.
  • No entity affiliated with Cannexus shall bear responsibility for financial losses, compliance disputes, or fulfilment delays arising from external agreements, banking transactions, or independent regulatory processes.
23.3. Any claims regarding third-party regulatory approvals, cannabis supply chain delays, or digital accessibility limitations must be addressed directly with the responsible external entity. Cannexus Holding shall not intervene in disputes arising beyond its direct jurisdiction.
  1. MEDICAL CANNABIS PURCHASES – MANDATORY CONSULTATION & LEGAL COMPLIANCE
  • The Gateway to Legally-Compliant Access: Cannexus Holding (Pty) Ltd operates under strict regulatory oversight, ensuring that every medical cannabis product dispensed through Cannexus Commerce complies with South African medical legislation.

These consultations will be conducted in full compliance with SAHPRA guidelines, ensuring that the patient’s treatment aligns with regulatory and clinical standards.
25. REGULATED MEDICAL CANNABIS PRODUCTS – COMPLIANCE, QUALITY CONTROL & LEGAL ACCOUNTABILITY
  • Licensed Distribution Under South African Regulatory Oversight: Cannexus Holding (Pty) Ltd operates as a licensed distributor, facilitating access to regulated medical cannabis products strictly in accordance with South African cannabis laws.
  • Cannexus does not cultivate, process, or formulate medical Instead, all products available through Cannexus Commerce are sourced exclusively from SAHPRA-licensed suppliers, ensuring:

29. FORCE MAJEURE
  • Cannexus Holding (Pty) Ltd shall not be held liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to:
  • Acts of God (natural disasters, pandemics);
  • Governmental or regulatory interventions (including delays by SAHPRA or related authorities);
  • War, terrorism, or civil unrest;
  • Power failures or disruptions to digital infrastructure;

  • The User agrees to indemnify, defend, and hold harmless Cannexus Holding (Pty) Ltd, its directors, officers, employees, affiliates, platform partners, and service providers against any and all claims, losses, liabilities, damages, penalties, expenses, or legal costs (including attorneys’ fees) arising from:
  • Any violation of this Agreement by the User;
  • Unauthorized use of Cannexus platforms or services;
  • User-submitted content that infringes third-party rights or violates applicable law;
  • Misuse of regulated medical cannabis purchasing processes, prescriptions, or patient
  • This obligation shall survive the termination of the User’s access to Cannexus platforms and shall remain enforceable to the fullest extent permitted under South African law
34. Termination of Access
  • Cannexus Holding (Pty) Ltd may, at its sole discretion and without prior notice, suspend or terminate a User’s access to Cannexus platforms or services where:
  • A breach of this Agreement occurs;
  • Continued access poses legal, clinical, or operational risk;
  • Misuse of medical cannabis protocols or patient- facing platforms is

It supersedes all prior agreements, proposals, or communications, whether written or
